Terms and Conditions
These conditions are applicable to all sales made by Servo and Electronic Sales Limited hereinafter referred to as “the Seller”. All goods supplied will remain the property of the Seller until paid in full and all invoices will be endorsed.
Reservation of Title
Property in the goods shall only pass to the Purchaser from the date of payment in full of all sums payable to the Seller in respect thereof. Until such time the goods remain the absolute property of the Seller. In default of payment by the Purchaser when lawfully demanded by the Seller, the Seller shall be entitled to enter the premises of the Purchaser and regain possession of the goods immediately.
VAT
The Seller shall be entitled to charge the amount of any value added tax whether or not included on any quotation or invoice.
Cancellation Policy
Products received in good condition will not be accepted for return unless a prior written request is received and accepted which may be subject to a 20% restocking fee if ordered in error. A full or partial refund will only be issued upon satisfactory receipt of returned products in good condition. Goods not yet shipped to the customer and cancelled in writing, will receive a full or partial refund if agreed by the Seller to which the Customer will be advised prior to cancellation acceptance.
Payment
Payment shall be due within 30 days of the date of the Sellers invoice. Failure to comply with this requirement may result in the withdrawal of credit account facilities and the withholding of any further supplies. All and any costs incurred by the Seller on the recovery of any overdue payments will be payable by the Purchaser. The Seller reserves the right to charge at 3% above the Bank of England base rate on all sums overdue.
Claims
Claims arising from damage, delay or partial loss of goods in transit must be made in writing to the Seller so as to reach it within five days of delivery, all other claims must be made to the Seller within 10 days of delivery. Where goods have been ordered in error and it is agreed they can be returned, there will be a minimum 20% re-stocking fee
Liability
The Seller shall not be liable for the indirect or consequential loss or for any loss to the Purchaser arising from third party claims occasioned by errors in supply or by delay in delivery or for any other reason.
Purchase Conditions
Printed conditions contained in Purchaser’s order forms or letterheads will not be binding on the Seller unless expressly accepted in writing by the Seller and are not at variance with the conditions contained herein. Purchase orders are non-cancellable and non-refundable.
Force Majeure
Every effort will be made to carry out the contract but its due performance is subject to cancellation by the Seller or to such variation as it may find necessary as a result of inability to secure labour, materials or supplies or as a result of an Act of God, war, strike, lockout or other labour disputes, fire, flood, drought, failure of power supply, legislation or other cause (whether of the foregoing class or not) beyond the Seller’s control.
C of C’s
Additional copies of Servo and Electronic Sales issued C of C’s can be supplied at £5 each. Manufacturers C of C’s can be supplied on request at a cost of £15 each.
The Law
These Terms and Conditions of Sale shall be governed by and construed in accordance with the Laws of England.
